Welcome to the Heftel Broadcasting Company, LLC d.b.a Allvegas.com (“Heftel Broadcasting Company, LLC d.b.a Allvegas.com,” “we”, “our”, “us”) website (collectively, the “Site”). This Site is provided by GP Solutions, for Heftel Broadcasting Company, LLC d.b.a Allvegas.com and its affiliates, parents, subsidiaries, partners, and other related parties (collectively, “Heftel Broadcasting Company, LLC d.b.a Allvegas.com”) solely to assist customers in gathering travel information, determining the availability of travel-related goods and services, making legitimate reservations or otherwise transacting business with travel suppliers, and for no other purposes. Use of the Site is governed by the following Terms & Conditions. By using the Site, whether to review information or to book travel reservations (through this Site) or for any other purpose, you agree to these Terms & Conditions and agree that they govern your use of this Site for any purpose and liability as between you and us for travel reservations made or searched using this Site. If you do not agree with any part of these Terms & Conditions, you must not use the Site or book travel reservations with us. We reserve the right to amend these Terms & Conditions at any time without prior notice. All amended terms automatically take effect when these Terms & Conditions are updated. Your continued use of the Site following the posting of changes to the Terms & Conditions will mean you accept those changes. Please return to this page periodically to check for any changes.


USER REPRESENTATIONS AND WARRANTIES

As a condition of your use of this Site, you warrant that (i) you are at least 18 years of age; (ii) you possess the legal authority to create a binding legal obligation; (iii) you will use this Site in accordance with these Terms of Use; (iv) you will only use this Site to make legitimate reservations for you or for another person for whom you are legally authorized to act; (v) you will inform such other persons about the Terms of Use that apply to the reservations you have made on their behalf, including all rules and restrictions applicable thereto; (vi) all information supplied by you on this Site is true, accurate, current and complete, and (vii) if you have an account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by you and anyone other than you. We retain the right at our sole discretion to deny access to anyone to this Site and the services we offer, at any time and for any reason, including, but not limited to, for violation of these Terms of Use. 

PROHIBITED USES


Heftel Broadcasting Company, LLC d.b.a Allvegas.com grants access and make personal use of the Site in accordance with the terms and conditions of this User Agreement. You may only use the Site to make legitimate reservations or purchases for personal, non-commercial use and shall not use the Site for any other purpose, including without limitation, to make any speculative, false or fraudulent reservation or any reservation in anticipation of demand. For avoidance of doubt, this license does not include any resale or commercial use of the Site or its contents or any derivative use of the Site or its contents. Without limiting the foregoing, you may not:

  • use or authorize or permit any third party to use on your behalf any “robot,” “spider” or other automatic device, or a program, algorithm or methodology having similar processes or functionality, or any manual process, to monitor or copy any of the web pages, data or content making a part of the Site, in any case without the prior written consent of Heftel Broadcasting Company, LLC d.b.a Allvegas.com;
  • utilize any software, application, or algorithm, whether integrated in a browser or otherwise, that frames, modifies or adds content to the layout, design, or content of any web page or application making a part of the Site;
  • transmit or otherwise transfer any web pages, data or content making a part of the Site to any other computer, server, web site, application or other medium for mass distribution or for use in any commercial enterprise;
  • use any device, software or routine to interfere or attempt to interfere with the proper working of the Site;
  • take any action that imposes a burden or load on the Site’s infrastructure that Heftel Broadcasting Company, LLC d.b.a Allvegas.com deems in its sole discretion to be unreasonable or disproportionate to the benefits Heftel Broadcasting Company, LLC d.b.a Allvegas.com obtains from your use of the Site; or
  • post or transmit via the Site (a) any unlawful, threatening, libelous, defamatory, obscene, indecent, inflammatory, pornographic or profane information or material, (b) any information or material that (i) could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law, (ii) infringes the rights of others or violates their privacy or publicity rights, (iii) is protected by copyright, trademark or other proprietary right (unless with the express written permission of the owner of such right), (iv) contains a virus, bug or other harmful item, or (v) is used to unlawfully collude against another person in restraint of trade or competition.

In its sole discretion, in addition to any other rights or remedies available to Heftel Broadcasting Company, LLC d.b.a Allvegas.com and without any liability whatsoever, Heftel Broadcasting Company, LLC d.b.a Allvegas.com at any time and without notice may terminate or restrict your access to the Site. If you have been notified by Heftel Broadcasting Company, LLC d.b.a Allvegas.com that you are prohibited from using the Site, then notwithstanding the foregoing you have no license to use the Site and any access by you or on your behalf shall be unauthorized and unlawful. Heftel Broadcasting Company, LLC d.b.a Allvegas.com may provide notice under this or any other section of this agreement via an email sent to the email address contained in your user profile or otherwise used to make a booking via the Site, or in any other reasonable manner. Heftel Broadcasting Company, LLC d.b.a Allvegas.com reserves the right to cancel any and all bookings or other transactions you have made using the Site after you have been prohibited from using the Site, with no liability whatsoever to you.

INTELLECTUAL PROPERTY


The web sites and mobile applications making a part of the Site, and each of their modules, together with the arrangement and compilation of the content found on such sites and applications, are the copyrighted property of Heftel Broadcasting Company, LLC d.b.a Allvegas.com and/or its third party suppliers and content providers (“Third Party Suppliers”). Certain data relating to schedules is the copyrighted work of third-party information providers. In addition, the trademarks, logos and service marks displayed (collectively, the “Trademarks”) are registered and common law Trademarks of Heftel Broadcasting Company, LLC d.b.a Allvegas.com and/or its Third-Party Suppliers. No license or right to use any of the Trademarks without the written permission of Heftel Broadcasting Company, LLC d.b.a Allvegas.com, or such other party that may own the Trademarks, is granted or should be implied. The Site and the content provided thereby, including text, graphics, button icons, audio and video clips, digital downloads, data compilations and software, may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed without the written permission of Heftel Broadcasting Company, LLC d.b.a Allvegas.com, and/or its Third Party Suppliers, except that you may download, display and print the materials presented by the Site for your personal, non-commercial use only. You must retain all copyright and trademark notices, including any other proprietary notices, contained in the materials, and you must not alter, obscure or obliterate any of such notices. The use of such materials on any other web site, application or in any environment of networked computers is prohibited. Unauthorized use of the Site and/or the materials provided thereby may violate applicable copyright, trademark or other intellectual property laws or other laws. You shall be solely liable for any damages resulting from any infringement of copyright, trademark, or other proprietary right, or any other harm resulting from your use of the Site.


REVIEWS, COMMENTS AND OTHER SUBMISSIONS


If you submit content to this Site by electronic mail, postings on this Site or otherwise, including any hotel reviews, questions, comments, suggestions, ideas or the like contained in any submissions (collectively, “Submissions”), you grant Heftel Broadcasting Company, LLC d.b.a Allvegas.com, and its subsidiaries and corporate affiliates (collectively, “Heftel Broadcasting Company, LLC d.b.a Allvegas.com”) and the affiliated, co-branded and/or linked website partners through whom we provide service (collectively, the “Heftel Broadcasting Company, LLC d.b.a Allvegas.com Affiliates”), a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised; and (b) use the name that you submit in connection with such Submission. You acknowledge that Heftel Broadcasting Company, LLC d.b.a Allvegas.com may choose to provide attribution of your comments or reviews (for example, listing your name and hometown on a hotel review that you submit) at our discretion, and that such submissions may be shared with our supplier partners, website users, or any other individual, at our sole and exclusive discretion. You further grant Heftel Broadcasting Company, LLC d.b.a Allvegas.com the right to pursue at law any person or entity that violates your or Heftel Broadcasting Company, LLC d.b.a Allvegas.com’ rights in the Submissions by a breach of these Terms of Use. You acknowledge and agree that Submissions are non-confidential and non-proprietary. We take no responsibility and assume no liability for any Submissions posted or submitted by you. We have no obligation to post your comments; we reserve the right in our absolute discretion to determine which comments are published on the Site. If you do not agree to these Terms of Use, please do not provide us with any Submissions. 

You are fully responsible for the content of your Submissions, (specifically including, but not limited to, reviews posted to this Site). You are prohibited from posting or transmitting to or from this Site: (i) any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material or content that would violate rights of publicity and/or privacy or that would violate any law; (ii) any commercial material or content (including, but not limited to, solicitation of funds, advertising, or marketing of any good or services); and (iii) any material or content that infringes, misappropriates or violates any copyright, trademark, patent right or other proprietary right of any third party. If you submit more than one review for the same hotel, only your most recent submission is eligible for use. 

Heftel Broadcasting Company, LLC d.b.a Allvegas.com’s policies with respect to claims by third parties that the content of the Site, including the content of any Submissions, infringes the copyrights owned by said third party can be found in the Copyright Infringement section below. 

SUPPLIER RULES AND REGULATIONS

Additional terms and conditions will apply to your reservation and purchase of travel-related goods and services that you select. Please read these additional terms and conditions carefully. You agree to abide by the terms and conditions of purchase imposed by any supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the supplier’s rules and restrictions regarding availability and use of rates, products, or services. Travel suppliers may change their prices without notice. We reserve the right to cancel your booking if full payment is not received in a timely fashion. Some hotel suppliers may require you to present a credit card or cash deposit upon check-in to cover additional expenses incurred during your stay. Such deposit is unrelated to any payment received by Heftel Broadcasting Company, LLC d.b.a Allvegas.com for your hotel booking. You acknowledge that some third-party providers offering certain services and/or activities may require you to sign their liability waiver prior to participating in the service and/or activity they offer. You understand that any violation of any such supplier’s rules and restrictions may result in cancellation of your reservation(s), in your being denied access to the applicable travel product or services, in your forfeiting any monies paid for such reservation(s), and/or in our debiting your account for any costs we incur as a result of such violation.


PRICES MAY INCLUDE SERVICE FEES, TAXES, AND OTHER CHARGES


You acknowledge and agree that the prices quoted and charged by Heftel Broadcasting Company, LLC d.b.a Allvegas.com or third parties through the Site may include taxes, fees, surcharges, service charges, booking fees, and other items charged by Heftel Broadcasting Company, LLC d.b.a Allvegas.com, governmental entities, Heftel Broadcasting Company, LLC d.b.a Allvegas.com partners and affiliates, global distribution system providers, travel providers, and other third parties, and that said fees and charges may not always be apparent from a review of the prices listed. In some cases, we can only estimate the tax or fee liability. By searching or booking, you represent and warrant that you agree to the pay the price quoted for the products and/or services listed, regardless of whether or not any additional fees, taxes, and other charges, or estimates of such, are included, and you know and accept that said charges may be included in the price. You expressly waive any claim against Heftel Broadcasting Company, LLC d.b.a Allvegas.com based on any included fees, taxes, charges, or estimates thereof included in your bill, whether or not disclosed in whole or in part and whether or not based on an estimate.


CURRENCY CONVERSION


Anytime the Site displays a purported conversion between two currencies, the following terms and conditions apply: Currency rates are based on various publicly available sources and should be used as guidelines only. Rates are not verified as accurate, and actual rates may vary. Currency quotes are not updated every day. We make an effort to give you reasonably accurate information, but no one is warranting, guaranteeing, or promising such accuracy. When using this information for any financial purpose, we advise you to consult a qualified professional to verify the accuracy of the currency rates. We do not authorize the use of this information for any purpose other than your personal use and you are expressly prohibited from the resale, redistribution, and use of this information for commercial purposes. 


COPYRIGHT INFRINGEMENT


If you believe in good faith that materials hosted by us infringe your copyright, you (or your agent) may send us a written notice that includes the following information. Please note that we will not process your complaint if it isn''t properly filled out or if the complaint is incomplete:

  • A clear identification of the material you claim is infringing the copyrighted work, and information that will allow us to locate that material on the Site, such as a link to the infringing material, a description of where on the linked page the material may be found, and he date on which you accessed it.

NEITHER HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM NOR ANY OF ITS THIRD PARTY SUPPLIERS WARRANT THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY OF THE CONTENT OR DATA PROVIDED VIA THE SITE AND SUCH PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. THIS RIGHT APPLIES WHETHER OR NOT THE ORDER HAS BEEN CONFIRMED AND/OR YOUR CREDIT CARD CHARGED. LIMITATION OF LIABILITY


HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM ASSUMES NO RESPONSIBILITY FOR, AND SHALL NOT BE LIABLE FOR, ANY DAMAGE TO YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, OR USE OF, THE SITE OR YOUR DOWNLOADING OF ANY MATERIALS, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE SITE.

IN NO EVENT SHALL HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM OR ANY OF ITS THIRD PARTY SUPPLIERS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, EQUITY OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH (I) ANY USE OF THE SITE OR CONTENT FOUND THEREIN, (II) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS SITE FOR RESERVATIONS OR TICKETING), OR (III) THE PERFORMANCE OR NON-PERFORMANCE BY HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM OR ANY OF ITS THIRD PARTY SUPPLIERS, INCLUDING, BUT NOT LIMITED TO, NON-PERFORMANCE RESULTING FROM BANKRUPTCY, REORGANIZATION, INSOLVENCY, DISSOLUTION OR LIQUIDATION EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY.

THE THIRD PARTY SUPPLIERS PROVIDING TRAVEL OR OTHER SERVICES ON THIS SITE ARE INDEPENDENT CONTRACTORS AND NOT AGENTS OR EMPLOYEES OF HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM. HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM IS NOT LIABLE FOR THE UNINTENTIONAL OR INTENTIONAL ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES OR NEGLIGENCE OF ANY SUCH THIRD PARTY SUPPLIERS OR AGENTS OF THIRD PARTY SUPPLIERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM.

HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM SHALL HAVE NO LIABILITY AND WILL MAKE NO REFUND IN THE EVENT OF ANY DELAY, CANCELLATION, OVERBOOKING, STRIKE, FORCE MAJEURE OR OTHER CAUSES BEYOND ITS DIRECT CONTROL, AND SHALL HAVE NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, RE-ROUTING OR ACTS OF ANY GOVERNMENT OR AUTHORITY.

IF, NOTWITHSTANDING THE FOREGOING, HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM OR ANY THIRD PARTY SUPPLIER SHOULD BE FOUND LIABLE FOR ANY LOSS OR DAMAGE WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH ANY OF THE ABOVE DESCRIBED FUNCTIONS OR USES OF THE SITE OR ITS CONTENT, THE LIABILITY OF HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM AND THE THIRD PARTY SUPPLIERS SHALL IN NO EVENT EXCEED, IN THE AGGREGATE, THE TOTAL AMOUNT PAID TO HEFTEL BROADCASTING COMPANY, LLC D.B.A ALLVEGAS.COM IN CONNECTION THEREWITH. SOME STATES OR JURISDICTIONS, TO THE EXTENT THEIR LAW MIGHT BE DEEMED TO APPLY NOTWITHSTANDING THE SELECTION OF IDAHO LAW AS DESCRIBED BELOW, DO NOT ALLOW LIMITATION OF LIABILITY, SO THE FOREGOING LIMITATION MAY NOT APPLY TO YOU.

By using the Site, you agree to irrevocably waive any claim against Heftel Broadcasting Company, LLC d.b.a Allvegas.com, its subsidiaries or affiliates, and any of such party’s officers, directors, managers, agents, contractors, or employees, and expressly agree that neither Heftel Broadcasting Company, LLC d.b.a Allvegas.com nor any of its subsidiaries, affiliates, officers, directors, managers, agents, contractors or employees, shall be held liable for:

  • any loss of or damage to property or injury to any person caused by reason of any defect, negligence, or other wrongful act of omission of, or any failure of performance of any kind by any Travel Supplier;
  • any inconvenience, loss of enjoyment, mental distress or other similar matter;
  • any delayed departure, missed connections, substitutions of accommodations, terminations of service, or changes in fares and rates;
  • any cancellation or double-booking of reservations or tickets beyond the reasonable control of Heftel Broadcasting Company, LLC d.b.a Allvegas.com; and
  • any claim of any nature arising out of or in connection with air or other transportation services, products or other features performed (or not) or occurring (or not) in connection with your itinerary.

For avoidance of doubt (and without limiting the foregoing), Heftel Broadcasting Company, LLC d.b.a Allvegas.com does not assume any liability whatsoever for cancelled flights, flights that are missed, or flights not connecting due to any scheduled changes made by the relevant airline.
The limitation of liability reflects the allocation of risk between you and Heftel Broadcasting Company, LLC d.b.a Allvegas.com. INDEMNIFICATION


You agree to protect and indemnify Heftel Broadcasting Company, LLC d.b.a Allvegas.com, its affiliates, partners, joint ventures and/or their respective suppliers and any of their respective officers, directors, managers, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, arising in whole or in part out of your use of the Site.

RELEASE


If you have a dispute with a travel product or service supplier(s), including but not limited to airlines, hotels, cruise lines, railroads, car rental agencies, tour operators and consolidators, vacation packages and activities suppliers, traveler assist service providers and insurance providers, you release us, our affiliates, partners, joint ventures and their respective officers, directors, managers, agents and employees from claims, demands and damages (direct, indirect, incidental, and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Accordingly, you agree that Heftel Broadcasting Company, LLC d.b.a Allvegas.com shall be entitled as a matter of right to seek an injunction from any court of competent jurisdiction, restraining such violation or attempted violation of these terms and conditions by you, or your affiliates, partners, or agents, without having to post a bond or other security.

TERMINATION


We reserve the right, in our sole discretion, and without liability, to terminate your access to all or part of the Site, with or without notice, for any reason or no reason.

SEVERABILITY

These Terms & Conditions are severable. NO WAIVER

Only a specific, written waiver signed by an authorized representative of Heftel Broadcasting Company, LLC d.b.a Allvegas.com shall have any legal effect whatsoever.

DATA SCRAPING

If you abuse this Site with numerous scans, data scraping, or screen scraping, we reserve the right to terminate your access to this Site immediately, without notice.

NO RELATIONSHIP

Nothing contained in these Terms & Conditions shall be deemed or construed as creating a joint venture, partnership, independent contractor or employment relationship between us or any of the parties hereto based on your use of the Site or making travel reservations or bookings. Neither you nor Heftel Broadcasting Company, LLC d.b.a Allvegas.com is, by virtue of these Terms & Conditions, authorized as an agent, employee or legal representative of the other party. No party shall have any power or authority to bind or commit any other party.
